CONSTITUTION AND BY-LAWS OF THE
JONES HILL
ASSOCIATION
The name of the organization is the Jones Hill Association.
ARTICLE II
Purposes
· To achieve these purposes it shall furnish opportunities for coordinated planning , exchange of ideas, encouragement of leadership, and facilities for the gathering and dissemination of information, and shall foster the solidarity required for the solution of problems affecting our people.

III
Membership
Membership is open to any interested person of the area. We will have a membership committee who will be responsible for all new members. Dues will be $5.00 - $25.00 annually for those able to pay. Reading of the roll of paid members every three months.

The Executive Board
shall consist of volunteers from the delegate body.

Any officer
holding elected public office must resign from office.
ARTICLE VII
Duties of Officers
The President shall
be the Presiding Officer at all meetings of the Association and the Executive
Board. The President shall conduct the management
and affairs of the organization together with
such duly
constituted committees as the President or the Executive Board shall from time
to time
appoint. The President is authorized and required to
act as the official spokesman and representative of the organization with the
power to delegate responsibility.
The Executive Vice-President shall assist the
President when required and shall assume the full duties and responsibilities
of the President in the absence of the President.
Recording Secretary
The Recording Secretary shall keep all records
and minutes of all meetings of the Delegates and of the Executive Board. All
records and minutes shall be the property of the organization. The Recording Secretary shall attend to all
other business which shall be entrusted to him or her by the President. The
Recording Secretary shall make a report at each regular Membership meeting of
the minutes of the previous meeting.
Copies of the minutes of the minutes shall be transmitted to the
President, and be open to review for any and all members upon request.
The Corresponding Secretary shall be
responsible for generating letters, statements, applications, or other written
documents required by the Association.
Treasurer
The Treasurer shall be the custodian of the
funds of the organization with power to collect dues, assessments, donations
and other income, and to issue receipts for same. The Treasurer shall keep records and books of account and shall
submit a written financial account, together with his or her records, to the
Executive Board at the first Executive Board meeting next following
termination of his or her term of office. The Treasurer shall keep records and books of account, which shall
be the property of the Jones Hill Association.
The Treasurer shall deposit all funds of the organization in such
banking institutions, and in such types of account as the regular meeting shall,
from time to time direct. The Treasurer shall make all disbursements by check,
which checks shall be signed by the President and counter-singed by the
Treasurer, no checks to be signed blank. The Treasurer shall make only such
disbursements as shall be directed or authorized by the membership or by the
Executive Board. He or she shall submit all books and records to inspection by
the Executive Board at any regular Executive Board meeting, when requested to
do so by the Executive Board at its previous meeting. The Treasurer shall
present a written summary of the status of the funds of Jones Hill Association
at each regular meeting, including the total cash assets and liabilities as of
the date of the previous membership meeting, including the statement of
receipts and expenditures and purposes, since the previous membership meeting,
and the total liabilities as of the date of the present meeting. The books will
be open to inspection for any and all members upon request.
ARTICLE
VIII
Duties of the Executive Board
The Executive
Board has the duty of carrying out the policies set forth by the Delegate body.
In cases needing action arising between meetings of the body, the Executive
Board will have the power to act for the body. Such action shall be presented
for ratification at the next regular meeting of the Delegate body
There shall be an annual meeting of the
Delegate body with election of officers. New officers shall be installed at the
regular delegate meeting in June. The place of the annual meeting shall be
determined by the Executive Board.
ARTICLE IX
Committees
There shall be
Standing Committees and Special Committees. Special committees shall be set up
as the need arises, discontinued as the need is met.
Committees
shall be appointed by the President in consultation with the Executive Board,
with approval of two-thirds of the body.
Membership on committees shall be open to
members of member associations, cooperating service organizations, and, upon
invitation, interested persons such as consultants or students of a given
subject. The effort of committee work should be encouraged broad participation
in activities sponsored by the organization.
Committees shall make reports of their work at each membership meeting.
ARTICLE X
Amendments may be submitted in writing by the
Executive Board or by any one delegate of the voting body at any regular
meeting for discussion or opposition
.
At meetings when amendments are presented, a
quorum of 50% must be present and the amendment must have at least two-thirds
of the 50% affirmative vote of those members present to be adopted.
